Terms of Service

1. Parties
These Terms govern the relationship between QBeat Technologies Ltd, organised under the laws of Cyprus ("Metix", "we"), and the legal entity that signs up for an account ("Customer", "you").
2. Service
Metix provides a software-as-a-service human-resources platform whose first module ("PayEq") supports compliance with EU Directive 2023/970 on pay transparency, as transposed into Cyprus law. Additional modules may be enabled by the Customer.
3. Account creation and acceptable use
You may create an account at /signup. You warrant that the person clicking "create" has authority to bind the Customer entity to these Terms. You agree to use the Service only for lawful purposes and in accordance with the Acceptable Use Policy.
4. Subscription, fees, and payment
New tenants begin on a fourteen-day trial. After the trial, continued access requires an active subscription. Subscriptions are processed by Stripe; you authorise Metix to charge the payment method on file for the applicable plan fee until you cancel. Fees are exclusive of VAT.
5. Customer data and processor obligations
The Customer is the controller of personal data submitted to the Service. Metix acts as a processor under the Data Processing Agreement at /legal/dpa, which forms a binding part of these Terms. In the event of conflict, the DPA prevails over these Terms in matters of personal-data processing.
6. Service levels
Metix uses commercially reasonable efforts to keep the Service available. No specific uptime SLA is offered for early-stage tenants; once enterprise plans are introduced, the SLA will be set out in the order form. The Service is provided "as-is" for early customers.
7. Term, suspension, and termination
These Terms remain in effect while you have an account. Either party may terminate for material breach not cured within thirty days of written notice. Metix may suspend access immediately if Customer use threatens platform security or stability. On termination, the Customer may export their data for thirty days; thereafter Metix will delete or anonymise Customer data per the DPA.
8. Liability
Neither party is liable for indirect, consequential, or special damages. Each party's aggregate liability is capped at the fees paid to Metix in the twelve months preceding the claim. Liability that cannot be excluded under Cypriot law is unaffected.
9. Governing law
These Terms are governed by the laws of Cyprus. Disputes are subject to the exclusive jurisdiction of the courts of Nicosia.
10. Changes
We may update these Terms; material changes are notified by email and surfaced on first login after publication.
